销售协议Sales Agreement

甲方系本协议项下甲方品牌自行车配件产品（下称“产品”）之权利人与供应方，乙方有意在欧洲地区（下称“授权区域”）经销该等产品，现双方根据市场需求及合作意愿，经友好协商，达成以下协议：
Party A is the lawful owner and supplier of the bicycle accessory products under Party A’s proprietary brand (hereinafter referred to as the “Products”). Party B intends to distribute the Products within the European region (hereinafter referred to as the “Authorized Territory”). Both parties, in response to market demand and mutual cooperation intentions, have amicably agreed to the following terms:

• 采购订单 / Purchase Orders

乙方应根据市场需求，通过甲方官方网站“phicycling.com”发出采购订单。订单将通过官网系统生成，并通过电子邮件发送给乙方。甲方在收到订单后，应在一定时间内通过邮件确认订单，确认邮件将作为订单的正式生效文件，并对双方具有同等法律约束力。

Party B shall place purchase orders based on market demand through Party A’s official website, “phicycling.com”. The order will be generated via the official website system and sent to Party B via email. Party A, upon receipt of the order, shall confirm the order within a specified period by email, which shall serve as the official confirmation of the order and shall be legally binding on both parties.

• 采购价格/ Purchase Price

产品的采购价格为双方共同确认的“标准采购价”，以甲方最新书面价目表或经确认的订单为准。甲方有权根据市场变化调整产品价格，须至少提前30个日历日通知乙方，并且每次调整幅度不超过10%。

The purchase price of the Products shall be the “Standard Purchase Price” mutually agreed upon by both parties, as per Party A’s latest written price list or the confirmed order. PParty A reserves the right to adjust the product price based on market conditions, but such adjustments shall be communicated to Party B at least 30 calendar days in advance, and each price adjustment shall not exceed 10%.

• 付款方式 / Payment Method

除非双方另有书面约定（如对公转账），乙方应在发出采购单时，通过甲方官网支付通道进行结算。

Unless otherwise agreed in writing (such as for bank transfers), Party B shall make payment for the order via Party A’s official website payment gateway at the time of placing the order.

• 产品交付 / Product Delivery

产品交付条件为DAP（乙方指定地址，Incoterms® 2020）。乙方应在收货当日，向甲方提供货物签收单。

The delivery condition for the Products shall be DAP (Delivered at Place) to the location designated by Party B in accordance with Incoterms® 2020. Party B shall provide a delivery receipt to Party A on the date of receipt of the Products.

• 优惠政策 / Support Policy

1. 账期：为了支持乙方的业务拓展，双方在首次合作中，甲方同意提供60天账期，即：乙方应在产品交付并签收后60日内，向甲方结清该采购订单的全部货款。
2. 退货政策：货物签收后60日内，乙方可将产品退回甲方。该退回产品应为全新、完好且不影响甲方二次销售的状态。退回的运费由甲方承担。

注：以上优惠政策仅适用于首次合作中的订单，后续订单不再适用。

Credit Terms: To support Party B’s business development, Party A agrees to offer a 60-day credit term for the first cooperation. Specifically, Party B shall settle full payment for the purchase order within 60 days after the delivery and receipt of the Products.

Return Policy: Within 60 days of signing for the goods, Party B may return the Products to Party A. The returned Products must be new, undamaged, and in a condition that does not affect Party A’s ability to resell them. Party A shall bear the return shipping costs.

Note: The above support policies are applicable only to the first cooperation order. Subsequent orders will not be subject to these terms.

• 违约责任 / Breach of Contract

1. 若乙方未按时付款或未按约定流程下单，甲方有权中止供货或采取其他合法措施。
2. 若甲方未按约定及时发货或存在产品质量问题，乙方可要求退货或换货，并按约定履行相应责任。

If Party B fails to make timely payment or fails to place orders in accordance with the agreed procedure, Party A reserves the right to suspend delivery or take other legal actions.

If Party A fails to deliver the Products on time or if the Products are of substandard quality, Party B may request a return or exchange, and Party A shall fulfill the respective obligations in accordance with the agreement.

• 协议的修改与终止/ Amendment and Termination of Agreement

如有任何条款需修改，双方应通过书面协议达成一致；如一方违约，另一方可要求终止合同。

Any amendments to the terms of this agreement shall be made in writing and agreed upon by both parties. Either party may terminate the contract if the other party breaches any of its obligations.

• 协议期限与续约/ Term and Renewal of Agreement

本协议自乙方在官网勾选确认之日（“生效日”）起立即生效。初始有效期为一年。除非任何一方在期满前至少 30 天书面通知对方不再续约，否则本协议将自动逐年续期。
This Agreement shall become effective immediately upon the date of Party B’s acceptance via the official website (the “Effective Date”). The initial term shall be one year. Unless either party provides written notice of non-renewal at least 30 days prior to the expiration, this Agreement shall automatically renew for successive one-year periods.

• 隐私和数据保护/ Privacy and Data Protection

根据欧洲的GDPR等相关法律，双方应按照适用的数据保护法律法规处理用户数据，确保所有交易数据的保密性和安全性

In accordance with the applicable data protection laws and regulations, including the General Data Protection Regulation (GDPR) in Europe, both parties shall handle user data in compliance with the relevant legal requirements, ensuring the confidentiality and security of all transaction data.
